1. Acceptance of Terms

By accessing or using Finsly's services, website, or mobile applications ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

2. Description of Service

Finsly is a marketplace platform connecting buyers and sellers of aquatic livestock, including fish, corals, and related products. We facilitate transactions between users but are not party to the actual sale agreements between buyers and sellers.

3. User Accounts

Users must:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of their account credentials
  • Be at least 18 years old or have parental/guardian consent
  • Notify Finsly immediately of any unauthorized access or security breaches

4. Seller Responsibilities

Sellers agree to:

  • Accurately describe all livestock and products listed
  • Comply with all local, state, and federal laws regarding sale and shipment
  • Package and ship livestock safely and according to industry best practices
  • Honor live arrival guarantees as stated in their store policies
  • Respond to buyer inquiries in a timely manner
  • Pay applicable seller fees as outlined in the Fee Schedule

5. Buyer Responsibilities

Buyers agree to:

  • Review seller policies before making purchases
  • Comply with DOA (Dead on Arrival) procedures as specified by sellers
  • Provide accurate shipping information
  • Pay for purchases promptly
  • Report issues within the timeframe specified by seller policies

6. Fees and Payments

Finsly charges sellers a commission on completed sales. Payment processing is handled through Stripe. All fees are non-refundable except as required by law. Founding Sellers receive special fee structures as outlined in their onboarding agreements.

7. Prohibited Conduct

Users may not:

  • List illegal or restricted species
  • Engage in fraudulent activities or misrepresentation
  • Harass, abuse, or harm other users
  • Attempt to circumvent platform fees
  • Use automated systems to access the platform without permission
  • Violate any applicable laws or regulations

8. Dispute Resolution

Finsly provides dispute resolution services for transactions conducted through the platform. Users agree to cooperate with our dispute resolution process. Final decisions regarding disputes are at Finsly's sole discretion.

9. Intellectual Property

All content, trademarks, and intellectual property on Finsly are owned by Finsly or its licensors. Users retain ownership of the content they upload but grant Finsly a worldwide, royalty-free license to use, display, reproduce, distribute, and promote such content on the platform and in Finsly's marketing and promotional materials.

10. Limitation of Liability

Finsly is not responsible for the quality, safety, or legality of items listed, the accuracy of listings, sellers' ability to complete sales, or buyers' ability to pay. Finsly is not liable for any indirect, incidental, or consequential damages arising from use of the Services.

11. Indemnification

Users agree to indemnify and hold Finsly harmless from any claims, damages, or expenses arising from their use of the Services or violation of these Terms.

12. Termination

Finsly reserves the right to suspend or terminate user accounts at any time for violation of these Terms or for any other reason. Users may terminate their accounts by contacting support.

13. Changes to Terms

Finsly may modify these Terms at any time. Continued use of the Services after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms are governed by the laws of the United States. Any disputes will be resolved in the courts of the State of Delaware, United States.
