End-User License Agreement (EULA)

1. Agreement to Terms

This End-User License Agreement ("Agreement") is a legal agreement between you and Finsly for the Finsly mobile application ("App"). By downloading, installing, or using the App, you agree to be bound by this Agreement. If you do not agree to these terms, do not download, install, or use the App.

2. License Grant

Subject to your compliance with this Agreement, Finsly grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App for personal, non-commercial purposes on devices you own or control.

3. License Restrictions

You agree not to:

• Copy, modify, or create derivative works of the App
• Reverse engineer, decompile, or disassemble the App
• Remove or alter any proprietary notices or labels
• Rent, lease, lend, sell, or sublicense the App
• Use the App for any unlawful purpose
• Distribute the App to third parties
• Use the App in violation of any applicable laws or regulations
• Access or use the App through automated means

4. Intellectual Property Rights

The App and all associated intellectual property rights are and shall remain the exclusive property of Finsly and its licensors. This Agreement does not grant you any ownership rights to the App. All trademarks, service marks, and trade names are proprietary to Finsly.

5. User Account and Data

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate information and keep it updated. Our collection and use of your data is governed by our Privacy Policy.

6. Updates and Modifications

Finsly may provide updates, upgrades, or modifications to the App. These updates may be automatically downloaded and installed. You agree that Finsly has no obligation to provide any updates or to continue to provide or enable any particular features or functionality.

7. Third-Party Services

The App may integrate with or provide access to third-party services, including payment processing (Stripe) and shipping carriers. Your use of these services is subject to their respective terms and conditions. Finsly is not responsible for third-party services.

8. In-App Purchases and Subscriptions

The App may offer in-app purchases or subscriptions. All purchases are final and non-refundable except as required by law or as specified in our Refund Policy. Subscription fees are charged through your app store account (Apple App Store or Google Play Store).

9. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Guarantees that the App will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or quality of content
• Guarantees that defects will be corrected

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINSLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the App
• Unauthorized access to or alteration of your data
• Statements or conduct of any third party on the App
• Any other matter relating to the App

11. Indemnification

You agree to indemnify, defend, and hold harmless Finsly and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the App or violation of this Agreement.

12. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any term. Upon termination, you must cease all use of the App and delete all copies. Finsly may terminate your access at any time for any reason.

13. Geographic Restrictions

The App may not be available in all geographic locations. Finsly makes no representations that the App is appropriate or available for use in all locations. Access to the App from locations where its contents are illegal is prohibited.

14. Export Compliance

You agree to comply with all applicable export and import control laws and regulations in your use of the App. You represent that you are not located in a country subject to U.S. embargo or designated as a "terrorist supporting" country.

15. App Store Terms

If you downloaded the App from the Apple App Store or Google Play Store, you acknowledge and agree that:

• This Agreement is between you and Finsly, not with Apple Inc. or Google LLC
• Apple and Google have no obligation to provide maintenance or support
• Apple and Google are not responsible for addressing claims relating to the App
• Apple and Google are third-party beneficiaries of this Agreement
• You must comply with the respective app store's terms of service

16. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising from this Agreement shall be resolved in the courts of the State of Delaware, United States.

17. Arbitration Agreement

Any dispute arising from this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Wilmington, Delaware. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

18. Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the Agreement shall otherwise remain in full force and effect.

19. Entire Agreement

This Agreement constitutes the entire agreement between you and Finsly regarding the App and supersedes all prior agreements and understandings, whether written or oral.

20. Changes to This Agreement

Finsly reserves the right to modify this Agreement at any time. We will notify you of material changes through the App or by email. Your continued use of the App after changes constitutes acceptance of the modified Agreement.
